File your California annual report

California charges $20 for an LLC annual report, paid to the California Secretary of State. California calls this the Statement of Information. An LLC files Form LLC-12 for $20: the first within 90 days of registering, then every two years. Filing late draws a $250 Franchise Tax Board penalty and, after 60 days, suspension. FastBusinessFiling prepares and files it for a flat $50, so the total is $70 with the state's fee passed through at cost. A corporation pays $25 rather than $20, so its total through us is $75. California calls this the Statement of Information. The full guide is here — both forms, both deadlines, the $250 penalty, and the approval email the state started requiring in August 2026.

California needs you to approve us first — watch for one email

Since 1 August 2026, California only shows the Statement of Information to filers the business has authorised. After you pay, we request access to your record and the Secretary of State emails whoever owns your bizfile account from bizfile@sos.ca.gov. Choose basic online access and we can file; that is all it lets us do.

We prepare your filing within one business day either way. The state clock starts when you approve that email, so approving it the day it arrives is the whole difference. If nobody has claimed the business on bizfile yet, tell us and we will file on paper instead.

What happens once you pay

  • Filed within one business day of your order
  • A specialist reads your order first. If anything looks wrong, we email you before filing, not after.
  • Rejected by the agency? We fix it and file again at no charge.
  • If we cannot get it filed at all, you get everything back, including the government fee.
  • Track it in your account with your email address. There is no password to invent.

State processing after that is the agency's queue, which runs from same day to a few weeks depending on where you are filing. We do not control it, so we do not promise a date for it.

Payment is handled by Stripe. Nothing is filed until payment clears, and government fees are refunded in full if we cannot file.

Filed in a day. One flat price. Nothing you didn't ask for.

  • Filed within one business day

One tier, one speed, every order. There is no rush fee here because there is no slow lane to buy your way out of.

  • A specialist reads every filing

Prepared and checked by someone who files these all day. If your name or address will not clear the state, you hear from us before it goes in.

  • Registered agent at $99, only if you want one

The lowest published rate of the five services we compare, sitting beside a free option to name yourself. Most people never need to buy it.

  • One price, and nothing starts on its own

$100 to form, $50 flat for every filing after. The only thing that can renew is a registered agent you chose, at the price you chose it for. No tiers, no trial that turns into a charge.

California questions

$20 to the California Secretary of State. Our fee to prepare and file it is $50, so $70 in total.

Late consequences are set by California and range from a penalty to administrative dissolution, which means the state stops recognising your company until you fix it. The cost of being late is always higher than the cost of the report, and reinstatement is a separate filing with its own fee. We do not publish a penalty figure for every state because those change without notice; the California Secretary of State publishes the current one.

The report is about the company existing, not about what it earned. A dormant LLC with no revenue owes the same report as a busy one for as long as it is registered. If you are done with the company, dissolving it is what stops the obligation.

Government fees on this page were read from the California Secretary of State and last checked on August 4, 2026. States change them without much warning; we recheck all 51 on a schedule and your exact total is recalculated at checkout, so the number you pay is the number in force that day. FastBusinessFiling is a filing service, not a law firm or an accounting firm, and does not give legal or tax advice. You can file any of this yourself directly with California.
