Dissolve your Florida LLC
Articles of dissolution end a Florida LLC on the state's record. We prepare and file them for $50 flat plus Florida's $25 fee, $75 in total. Settling debts, final tax returns and any other-state registrations stay with you.
To close a Florida LLC with the state, you file articles of dissolution with the Division of Corporations; the state fee is $25. Filing it does not by itself settle debts, final tax returns or other-state registrations. We prepare and file the articles for $50 flat after you confirm the company agreed to dissolve.

Before you order
Behind on annual reports?
If your company is behind on annual reports, tell us first; we will check your record and may suggest reinstatement before dissolving.
Dissolved and withdrawn are different forms
Articles of dissolution are for an LLC formed in Florida. An LLC formed in another state and registered here withdraws its Florida registration instead, and an LLC that qualified in other states has to withdraw from each of them separately. We confirm which form applies before we file.
The filing is the last step, not the only one
Paying creditors, distributing what is left, final tax returns and closing accounts are yours to do. We are a filing service: this is not legal or tax advice and not a tax closeout. Our guide to closing an LLC walks through the whole sequence.
Common questions
You can, and Florida dissolves an LLC that has not filed its annual report by the third Friday of September. But that is the state ending the record, not you closing the company: it settles no debts and no tax filings, and getting the company back later is a reinstatement. Filing articles of dissolution closes it on your terms.
Filing the articles does not settle anything by itself. Winding up is yours: collect what the company is owed, pay its creditors, then distribute what is left to the members, in that order. We file the articles; we do not run the winding up or advise on it. If the company cannot cover what it owes, talk to an attorney before filing.
No. The IRS never cancels an EIN; you write to the IRS to close the business account, and the number stays retired with the company. Final federal and Florida returns, payroll filings and any sales tax account are closed out separately. We are a filing service, not a tax preparer, and this is not a tax closeout.
Then the state has already ended the record for missed annual reports, and this order is not the place to start. That is usually a reinstatement first, with the missed reports brought current. Ask us before ordering and we will look at your record.
The LLC's exact name as it appears on the Florida record, its document number, and a short statement of how the members or managers approved dissolving it: who approved it and when. A sentence or two in the order form is enough.
