1. Who we are, and who we are not

FastBusinessFiling is a document filing service operated by Fast Filing Group LLC, a Florida limited liability company. We provide information and software services only. We are not a law firm, we are not an accounting firm, we are not your attorney, and no attorney-client relationship is created by using this site. We do not review your answers for legal sufficiency, draw legal conclusions, provide advice about your rights, recommend an entity type or state of formation for your particular situation, or provide advice about the selection of forms or strategies. Our staff checks orders for completeness, spelling, and internal consistency only.

Many of the filings we prepare can be completed directly with the state or the IRS on your own, at the government fee alone. When you hire us, you are paying for preparation, submission, and support, and you are representing yourself in the filing.

2. What we do

At your direction, we prepare and submit business filings using the information you supply: formation documents, IRS Form SS-4 for an EIN, IRS Form 2553 for an S corporation election, sales tax registrations, trade name registrations, and state annual reports. You are responsible for the accuracy of the information you give us and for decisions such as entity type, formation state, and tax elections. If those decisions require judgment about your specific situation, consult an attorney or a tax professional first.

3. Fees

Our service fees are flat and are shown before payment. Government filing fees are set by the state or federal agency, are itemized separately at cost, and go to the government, not to us. If an agency changes its fee between your order and our filing, we contact you and confirm the difference before proceeding. The IRS never charges for an EIN or for a standard Form 2553 election; our fee for those services is for the work of preparing and submitting them.

4. Registered agent service

Registered agent service is optional and costs $99 per year. The first year is charged with your formation order, and the service renews at $99 per year on your anniversary unless you cancel, which you can do at any time with effect at the end of the paid period. If you choose to act as your own registered agent, no fee applies and nothing renews; you are then responsible for maintaining a physical street address in the state and for being available to receive service of process during business hours. Changing your registered agent later is a state filing that may carry its own state fee.

5. Sensitive information

Some filings require Social Security numbers, for example shareholder consents on Form 2553 and the responsible party on Form SS-4. We store those values encrypted, use them only to prepare and submit the filing you ordered, and never include them in payment records.

6. Turnaround

We prepare most orders within one business day. Government processing times vary by agency and season and are outside our control. EIN applications for founders without an SSN or ITIN are processed by the IRS by fax and typically take about four business days.

7. Refunds

See our refund policy. In short: full refund including government fees if we have not yet filed; after filing, government fees are non-refundable because the government does not return them, and our service fee is refunded if we failed to perform the service.

8. Disclaimers and limits

Except where section 10 applies, the service is provided as is, we disclaim implied warranties to the extent permitted by law, and our total liability for any claim is limited to the amount you paid us for the service giving rise to the claim. Nothing in these terms limits liability that cannot lawfully be limited.

9. Governing law

Except where section 10 applies, these terms are governed by Florida law, and disputes belong in the state or federal courts located in Lee County, Florida.

10. North Carolina consumers

For consumers in North Carolina, the following applies instead of anything to the contrary above, in line with N.C. Gen. Stat. 84-2.2: you may review a blank template or your completed document before you are obligated to pay; our forms and templates are not a substitute for the advice of an attorney; sections 8 and 9 do not apply to you, we do not disclaim warranties or limit liability or damages for North Carolina consumers, and any dispute may be brought in the courts of North Carolina; and if you believe we have engaged in the unauthorized practice of law, you may refer the matter to the North Carolina State Bar, 217 East Edenton Street, Raleigh, NC 27601.
