Common questions
No, and this catches people out. Forming the corporation is a state filing. Tax-exempt status is a separate IRS application, Form 1023 or 1023-EZ, made afterwards. A nonprofit that never files it is simply a corporation that cannot distribute profits.
The IRS will not grant exemption unless your articles limit the organisation to exempt purposes and commit its assets to another exempt organisation if it dissolves. Plenty of state templates omit both. Fixing it later means an amendment, so we write it in now.
Most states want at least one director named, and several want three. The order form asks, and we tell you what your state requires before you pay.
